– “User”, “you”, or “your” refers to any individual accessing or using the App.
– “Business Day” means any day other than a Saturday, Sunday, or public holiday in England and Wales.
– “Force Majeure” refers to any event beyond our reasonable control that prevents us from fulfilling our obligations, including but not limited to natural disasters, power failures, strikes, network outages, or acts of government.
– “Content” refers to all text, data, graphics, and materials made available through the App.

2. Introduction

Welcome to SetSum (“the App”, “we”, “us”, or “our”), operated by SetSum Ltd.
SetSum is designed to help actors, models, and supporting artistes estimate and track potential earnings in the entertainment industry.
By accessing or using SetSum, you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, you must not use the App or Website.

3. Eligibility and Age Requirement

You must be at least 16 years old to create an account or use SetSum. By using the App, you confirm that you meet this requirement. We reserve the right to suspend or delete accounts that do not meet this condition.

4. Purpose of the App

SetSum provides digital tools that allow users to:
– Estimate potential pay based on industry-standard rate structures (including FAA/PACT, BBC, and PACT/Equity); and
– Record and track work shifts, historical earnings, and related information.
SetSum is intended for informational and organisational purposes only. All calculations are estimates and may not reflect actual pay, entitlements, or contractual terms.

Disclaimer on Industry Pay Rates
The pay rates and structures displayed in SetSum are based on publicly available information from recognised industry agreements (such as FAA/PACT, BBC, and PACT/Equity). SetSum Ltd is not affiliated with, endorsed by, or approved by any union, broadcaster, or production company. Rate data may change over time, and users should verify details with their agency or employer before relying on any figures presented within the App.

5. Accuracy of User Inputs

All calculations and outputs generated by SetSum are based solely on information entered by the user. SetSum Ltd does not verify the accuracy of user-supplied data and accepts no responsibility for errors or outcomes resulting from incorrect or incomplete information.

6. No Financial, Legal, or Employment Advice

SetSum is not a financial, tax, or legal advisory service. Any figures, estimates, or outputs generated by the App are provided for informational and organisational purposes only and should not be relied upon as professional advice.
You are solely responsible for verifying your own pay rates, earnings, and entitlements with your agency, employer, or production company.
SetSum Ltd does not calculate, file, or provide guidance on tax returns, deductions, or income reporting. Users are solely responsible for managing and fulfilling their own tax obligations, including any reporting to HMRC or other relevant authorities.

7. Account Registration and Security

To use certain features, you may need to create an account. You agree to:
– Provide accurate, complete, and up-to-date information.
– Maintain the confidentiality of your login credentials.
– Notify us immediately at support@setsum.co.uk if you suspect unauthorised access to your account.
We reserve the right to suspend or terminate accounts that breach these Terms or misuse the App.

8. Acceptable Use

You agree not to use the App to:
– Violate any applicable laws or regulations;
– Upload or transmit malicious software;
– Interfere with or disrupt the App’s functionality or security;
– Reverse-engineer, decompile, or copy the App’s code or algorithms;
– Misuse or commercially exploit any part of the App without consent.
We reserve the right to restrict access or remove content that violates these Terms.

9. Service Availability

SetSum provides access to its tools immediately upon account creation. While we aim for continuous availability, we cannot guarantee uninterrupted service due to maintenance, updates, or unforeseen technical issues. We will make reasonable efforts to notify users of planned maintenance that may impact service.
SetSum Ltd is not liable for any temporary unavailability, data loss, or system errors that may occur during use.

10. Third-Party Services and Integrations

SetSum may integrate with or rely on third-party services (e.g., analytics, hosting, or authentication). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for any loss or damage resulting from third-party integrations or downtime of external systems.

11. Beta or Early Access Features

From time to time, SetSum may offer beta or early-access features for testing and feedback. These features may not function as intended and are provided “as is” without warranty.

12. Termination of Service

We reserve the right to suspend, restrict, or terminate your access to the App at any time if we reasonably believe you have breached these Terms or misused the service.
You may terminate your account at any time by deleting it within the App or contacting support@setsum.co.uk.
We may discontinue or modify the App at our discretion without prior notice.

13. Intellectual Property

All content and materials within SetSum — including text, graphics, icons, algorithms, and the SetSum logo — are owned by or licensed to SetSum Ltd.
You may not copy, modify, reproduce, or distribute any part of the App without prior written consent. Unauthorised use of SetSum’s intellectual property may result in legal action.

14. Limitation of Liability

To the fullest extent permitted by law:
– The App is provided “as is” and “as available”, without warranties of any kind.
– We do not guarantee uninterrupted service, data accuracy, or error-free performance.
– SetSum Ltd is not liable for any indirect, incidental, or consequential damages, including loss of income, opportunity, or data, arising from your use of or reliance on the App.
Your statutory consumer rights remain unaffected.

15. Indemnity

You agree to indemnify and hold harmless SetSum Ltd, its founders, employees, and affiliates from any claims, damages, liabilities, or expenses (including reasonable legal fees) arising from your misuse of the App, breach of these Terms, or violation of applicable laws.

16. App Store Terms

Your use of SetSum may also be subject to the terms of the platform from which you downloaded it (e.g., Apple App Store or Google Play). In case of conflict, those platform terms may apply where required by law.

17. Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to natural disasters, power failures, labour disputes, or governmental actions.

18. Updates and Variations

We may update, modify, or replace these Terms from time to time. Updates take effect upon publication in the App or on our website. Continued use of SetSum after any updates constitutes acceptance of the revised Terms.

19. Dispute Resolution

We aim to resolve all issues amicably. If you have a complaint, please contact support@setsum.co.uk so we can address your concern.
If a resolution cannot be reached, both parties agree to attempt mediation before pursuing legal action in the courts of England and Wales.

20. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
